YSM Group Ethical Manufacturer Partnership Guidelines

We are excited to welcome you as a partner of YSM Group. Our collaboration is built on the principles of ethical manufacturing, sustainability, and high-quality standards. In addition, we are committed to upholding the highest standards of design protection, confidentiality, and intellectual property (IP) protection. Below, you will find our comprehensive guidelines to ensure a smooth and successful partnership. These guidelines emphasize the protection of both our shared values and the intellectual property of our clients and partners.


1. Packaging and Shipping Requirements

To maintain consistency and ensure a premium customer experience, we require that all partners follow these packaging and shipping protocols:

No Factory Invoices in Packages:
Ensure no factory invoices, receipts, or pricing information are included inside or outside any shipment. All invoicing is handled by YSM Group and should be kept separate from the products delivered to customers.

Shipping Labels:
Each package should reflect the brand name associated with the order as the sender. For example, if the order email subject line is “Alex: Pinlord Pins,” the shipping label should list PINLORD as the sender. Similarly, for other brands such as Yourstuffmade and Goodbandmerch, the brand in the email subject must match the sender name on the shipping label. This ensures a clear and professional presentation to customers.

Order Packaging:
Every order must be carefully packed with Branded requirements that can include black tissue paper, biodegradable packaging and a brand’s thank you card. This thoughtful presentation creates a memorable unboxing experience for customers, helping reinforce the brand’s identity and quality.


2. Customer Communication

Transparency and brand consistency are key in customer communication. To help us manage these relationships effectively:

Handling Customer Inquiries:
If a customer contacts you and mentions Yourstuffmade, Pinlord, or Goodbandmerch, please refrain from discussing working directly with YSM Group. Instead, notify us immediately at [email protected]. Our team will work with you to ensure the customer receives the appropriate information. This approach helps us maintain professional and consistent communication with all customers.


3. Ethical Manufacturing Practices

As part of our commitment to ethical standards and sustainable practices, we ask that all partners adhere to the following guidelines:

Fair Labor and Safe Working Conditions:
We expect all manufacturing partners to maintain a safe and healthy working environment. Workers should receive fair wages, work reasonable hours, and be provided with appropriate safety measures. Child labor, forced labor, or any form of worker exploitation is strictly prohibited.

Sustainable Materials and Practices:
Wherever possible, we encourage the use of sustainable materials and eco-friendly practices in production and packaging. This may include using recycled materials, reducing energy consumption, and minimizing waste. As part of YSM Group’s sustainability goals, we aim to reduce our environmental footprint and ask that you join us in this effort.


4. Design Protection, NDA, and Intellectual Property (IP) Protection

We take the protection of our designs, intellectual property, and confidential information very seriously. The following measures are in place to ensure that all intellectual property and sensitive information are fully protected throughout our partnership:

Confidentiality Agreement (NDA):

As part of this partnership, all partners are required to sign a Non-Disclosure Agreement (NDA) to protect the confidentiality of any proprietary information shared during the course of our business relationship. This includes, but is not limited to:

● Design files, concepts, or ideas. ● Client information and business strategies. ● Any non-public business information related to YSM Group or its brands (Yourstuffmade, Pinlord, Goodbandmerch, etc.).

Under no circumstances should this information be disclosed to third parties without explicit written consent from YSM Group. Failure to comply with this NDA will result in immediate termination of the partnership and potential legal action.

Intellectual Property (IP) Protection:

All intellectual property, including product designs, concepts, logos, and branding, remain the exclusive property of YSM Group and/or its clients unless otherwise explicitly agreed upon. We take the following steps to protect intellectual property rights:

Exclusive Rights: All designs, prototypes, and products created during our partnership are the exclusive property of YSM Group or the client commissioning the project. These designs cannot be replicated, sold, or distributed by the partner without explicit written approval.

No Use Without Permission: Partners are strictly prohibited from using any design, artwork, or other IP shared by YSM Group for purposes outside of the agreed-upon project without express permission.

IP Dispute Resolution: Any potential disputes regarding intellectual property will be addressed through appropriate legal channels. In the event of an IP violation, YSM Group reserves the right to pursue legal action and will hold the partner fully accountable for any damages incurred.


5. Quality Assurance

To ensure that our customers consistently receive high-quality products, we require all partners to perform regular quality checks on their products. This includes:

Product Inspections:
Before shipping, all products should be thoroughly inspected to ensure they meet our high-quality standards. This includes checking for defects, ensuring correct dimensions, and confirming that all products match the approved design specifications.

Adherence to Design and Specifications:
All products must adhere to the approved design, size, and material specifications provided during the order confirmation process. Any deviations from the approved specifications must be communicated and approved by YSM Group before production begins.


6. Penalties for Non-Compliance

We expect full compliance with these guidelines to maintain the integrity of our partnership and provide the best possible experience for our customers. Non-compliance will result in penalties to ensure accountability:

Penalty for Guideline Violations:
Failure to adhere to these guidelines will result in a 50% reduction in payment for the specific order. This penalty is enforced to encourage full cooperation in delivering the highest standards and consistency to our customers.


7. Continuous Improvement and Feedback

At YSM Group, we believe in the value of continuous improvement. We encourage all partners to provide feedback on how we can enhance our processes and work together more effectively. Your input is valuable, and we are always open to suggestions for making our partnership even stronger.


8. Ethical Certification

YSM Group is committed to working only with manufacturers that align with our B Corp certified values of ethical production and sustainability. We reserve the right to request documentation or audits to verify that our manufacturing partners meet these ethical standards.


9. Agreement to Guidelines and Terms

By signing below, both parties agree to follow the guidelines and ethical standards outlined in this agreement, including adherence to confidentiality (NDA), intellectual property (IP) protection, and quality control measures. This partnership represents a shared mission to uphold ethical practices, produce high-quality products, and create a positive impact on both people and the planet.
